The Company retains all right, title, and interest in and to its intellectual property, including pre-existing materials, methodologies, software tools, and frameworks used in providing the Services. Upon full payment for Services, the Client receives a non-exclusive, non-transferable license to use any deliverables created specifically for them. The Website and its original content, features, and functionality are owned by LOJANO SERVICES LLC and are protected by international copyright, trademark, and other intellectual property laws.
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the business relationship. Confidential information includes, but is not limited to, business strategies, technical data, client lists, financial information, and project details. This obligation of confidentiality survives the termination of any service agreement and continues for a period of three years from the date of disclosure.
To the maximum extent permitted by applicable law, LOJANO SERVICES LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Website or Services. The Company's total liability for any claims arising under these terms shall not exceed the amount paid by you for the specific Services giving rise to the claim.
The Website and Services are provided on an as is and as available basis without any warranties of any kind, either express or implied. LOJANO SERVICES LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing. Fees for Services are as set forth in the applicable service agreement or statement of work. Invoices are due within thirty days of the invoice date unless otherwise specified. Late payments may incur interest at a rate of one and one-half percent per month or the maximum rate permitted by law, whichever is less. The Company reserves the right to suspend Services for non-payment after providing written notice.
Neither party shall be liable for any failure or delay in performing obligations under these terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, or failures of third-party infrastructure.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Connecticut and the United States of America, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms or the Services shall be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty days, the parties agree to submit to the jurisdiction of the courts of Fairfield County, Connecticut.
LOJANO SERVICES LLC reserves the right to modify or replace these Terms of Service at any time. Changes will be effective immediately upon posting to the Website. Your continued use of the Website or Services after any such changes constitutes your acceptance of the new terms. We encourage you to review these Terms of Service periodically for any updates.
